¶ E01
Introduction and Use
Purpose of the appendix. This appendix collects the instruments that a trustee, trust agent, protector, manager, foundation council or registered agent needs to form, fund, administer and defend the structures examined in this volume. It supports the model trust deed in Appendix B, the model operating agreement in Appendix C and the model foundation charter and by-laws in Appendix D. Appendix B promises several of these forms by name: the trustee's and protector's acceptances, a deed of addition, a deed of change of proper law, a declaration that an Event of Duress has occurred and an application for directions under section 59 of the Trusts Act (see supra ¶ B90.03). Each is included, together with the forms the chapters describe for registration, attestation, transfers of interests, responses to creditors and foreign orders, and the registration of a private trust company.
How the forms are presented. Each form appears as a model provision headed "Form E-" and a number, followed by a note that states the statutory basis of the form, the choices it requires and the chapter in which the law is examined. Square brackets mark text that must be completed or chosen, such as [name], [date] or [amount]. References in a form to "the Deed," "the Trustee," "the Protector," "Event of Duress" and similar defined terms are to the model deed in Appendix B; a form used with a different instrument must be conformed to that instrument's definitions and clause numbers. The notes are not part of the forms and should be removed from any executed document.
Prescribed forms. Several of the steps covered here must be taken on a form prescribed by statute, regulation or the Commission. An application to register an international trust is made on the form in the First Schedule to the International Trusts Regulations 2007, supported by the trust agent's affidavit in the form in the Fourth Schedule (see supra ¶ 660.04). An application to register a foundation is made by the registered agent in accordance with Schedule I to the Foundations Act, accompanied by the certificate of the Belize member of the council in accordance with Schedule II. Foundations Act s. 17(6). A private trust company files an annual compliance declaration "in such form as the Commission may approve" (see supra ¶ 1320.04). A company files its annual return in the approved form (see supra ¶ 1860.08). A claim for directions is begun by fixed date claim in Form 2 under the Civil Procedure Rules (see supra ¶ 2570.02). Where a form is prescribed, the prescribed form must be used. The forms in this appendix for those steps set out the particulars the statute requires and the supporting instruments and correspondence that accompany the prescribed form. They are not substitutes for it.
Law stated and review. The forms state the law as of November 2026. They take account of the Trusts (Amendment) Act 2023, the amendments of 2023 to the Limited Liability Companies Act and the Foundations Act, the Belize Companies Act 2022, the Belize Companies (Private Trust Companies) Regulations 2022 and the Senior Courts (Civil Procedure) Rules 2025. Fees, forms and filing channels change by notice of the Commission more often than the statutes do. Belize counsel should confirm the current prescribed form, fee and filing address before any form is used.
Execution. Forms described as deeds should be executed as deeds in the manner required by the law of the place of execution and, for a company, by its articles. Forms that are to be filed with the Registrar or produced to a bank should be signed by the persons whose authority the recipient will verify, usually two directors or a director and an authorised signatory of a corporate trustee. Every executed form should be placed on the trust or entity file, and a copy delivered to the trust agent or registered agent where it changes information that agent must record (see infra ¶ E70).
Index. Table E-1 at ¶ E70 lists every form, the person who signs it, the statutory basis and the chapter in which the law is examined.
