¶ G01
Introduction and Conventions
Scope. This glossary defines about three hundred terms used in the treatise. It collects the key terms listed at the start of each chapter and appendix and adds the statutory, tax and regulatory terms that recur across chapters. Each definition states the meaning the treatise gives the term. Where the chapters use a term in more than one sense, the entry follows the statute and notes the variation.
Conventions. Where a term is defined by statute or regulation, the entry gives the source after the definition, in the form used in the chapters. The cross-references at the end of each entry point to the paragraph where the term is principally treated and to any other paragraph where it is explained. The Delaware Limited Liability Company Act is cited as Del. Code Ann. tit. 6, and the Uniform Limited Liability Company Act (2006) (Last Amended 2013) as Rev. Unif. Ltd. Liab. Co. Act. Terms are alphabetized letter by letter, ignoring punctuation and numerals.
Florida terms. The Florida Revised Limited Liability Company Act uses "limited liability company" and "foreign limited liability company" as discrete defined terms. Fla. Stat. § 605.0102(26), (36). The entries for those terms reflect that usage, under which the single-member foreclosure authority of § 605.0503(4) reaches only LLCs formed under chapter 605. See ¶¶ 160.07, 2740.06.
