Introduction and Use

Purpose of the appendix. This appendix collects in one place the federal tax elections that an LLC and its members most often make, the deadlines that govern them, and the annual filing calendar for an LLC that keeps a calendar taxable year. It is a finding aid. Each entry states the election or filing, the form, the deadline, who signs, what follows if the deadline is missed, the relief that may be available, and the paragraph of the treatise that discusses the rule. The analysis, the authorities and the planning considerations are in the chapters cited.

How the deadlines are stated. Deadlines are stated in the form the statute, regulation or form instructions use, followed by the date that results for a calendar-year taxpayer. A deadline expressed as a period after an event (for example, 30 days after a transfer of property, or 45 days after the mailing of a notice) runs from that event and has no fixed calendar date. When a due date falls on a Saturday, Sunday or legal holiday, the filing is timely if made on the next business day. I.R.C. § 7503. The IRS instructions for the 2025 information returns illustrate the rule: the Form 1099-NEC due date of January 31, 2026 fell on a Saturday, and the instructions give February 2, 2026 as the date.

Extensions. An automatic extension of time to file most business income tax and information returns is requested on Form 7004, which must be filed by the regular due date of the return. The automatic extension is generally six months. Form 7004 does not extend the time to pay tax. Instructions for Form 7004. An extension of the return does not extend a separate election period unless the rule says so. The § 754 election is made in a statement filed with the partnership's timely filed return, including any extension. The election out of the centralized audit regime must be made with a timely filed return, including extensions. I.R.C. § 6221(b)(1)(D)(i); Treas. Reg. § 301.6221(b)-1(c)(1). Other elections, such as the § 83(b) election and the push-out election, run from a fixed event and are not extended by a return extension.

Currency of the information. The deadlines and figures in this appendix were checked against the statutes, regulations, revenue procedures and current form instructions as of November 2026. Inflation-adjusted figures are those published for 2026. A practitioner relying on a deadline for a later year should confirm it against the current instructions for the form concerned.

Organization. ¶ E10 covers classification and S corporation elections. ¶ E20 covers elections made by the LLC as a partnership. ¶ E30 covers elections and periods that belong to the members. ¶ E40 sets out the federal calendar month by month. ¶ E50 covers state annual reports and entity-level taxes in five states. ¶ E60 covers foreign members, foreign-owned LLCs and the related information returns. ¶ E70 lists the 2026 figures used elsewhere in the treatise.
